Agreement to Our Legal Terms

We are GigTwist LLC ("Company," "we," "us," "our"), a company registered in Massachusetts, United States at 82 Wendell Ave, Pittsfield, MA 01201.

We operate the mobile application GigTwist (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

GigTwist is a mobile marketplace that connects musicians with venues for live music bookings. Venues can discover and book performers, and musicians can accept bookings, agree to booking terms, and receive payment. The platform facilitates discovery, booking, booking agreements, and secure escrow-based payments between the two parties, and charges a service fee on completed bookings.

You can contact us by phone at 978-501-9910, email at admin@gig-twist.com, or by mail to 82 Wendell Ave, Pittsfield, MA 01201, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and GigTwist LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. Changes to these Legal Terms will become effective seven (7) days after the notice is given, except if the changes apply to security updates or a court order, in which case the changes will be effective immediately. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms. If you disagree with such changes, you may terminate Services as per the section "TERM AND TERMINATION."

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. Intellectual Property Rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: admin@gig-twist.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

We may remove or edit your Content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Massachusetts. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Berkshire County, Massachusetts, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

26. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. 27. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. 29. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.

30. Marketplace Role; No Employment Relationship

GigTwist is a neutral marketplace that connects independent musicians and venues. GigTwist is not the employer, agent, or representative of either party, does not perform, and is not a party to the booking agreement between a musician and a venue. Musicians are independent contractors, not employees of GigTwist.

31. Cancellation and Refund Tiers

The 15% platform fee is non-refundable for venue cancellations. Refund percentages below apply to the musician's rate only.

Venue cancellations:

7+ days before gig: Musician's rate refunded (platform fee non-refundable)
3–6 days before gig: 50% of musician's rate refunded, musician keeps 50% (platform fee non-refundable)
Under 72 hours: No refund, musician keeps full amount

Musician cancellations:

7+ days before gig: Venue receives full refund including platform fee
3–6 days before gig: Venue receives full refund including platform fee, musician receives a strike
Under 72 hours: Venue receives full refund including platform fee, musician receives a strike

Musicians who accumulate 3 strikes may have their account suspended. A completed performance is non-refundable.

32. Payment, Escrow, and Payout Timing

All booking payments are processed securely through Stripe. When a venue submits a booking request, the venue's card is authorized for the full amount — this places a temporary hold but does not charge the card. The card is charged only if and when the musician accepts the booking. If the musician declines or does not respond within 48 hours, the hold is released automatically.

GigTwist charges a 15% platform fee, which is added on top of the musician's rate and paid by the venue. Musicians receive their full agreed rate, less Stripe's processing fee (2.9% + $0.30), which is borne by the musician and deducted at settlement. Funds are held by GigTwist until 24 hours after the gig's scheduled end time, at which point payment is automatically released to the musician unless a dispute has been raised.

33. In-App Dispute Process

Either party may raise a dispute within 24 hours of the gig's scheduled end time. Once a dispute is raised, payment is frozen pending GigTwist's review, and GigTwist's resolution of the dispute is final. This in-app process covers disputes between a musician and a venue about a booking; disputes between you and GigTwist are governed by the "DISPUTE RESOLUTION" section above.

34. No Off-Platform Circumvention

You must keep booking, communication, and payment on the GigTwist platform. Sharing contact details to move communication off-platform, or arranging bookings or payments outside the platform to avoid GigTwist's fees, is prohibited and may result in account suspension.

35. Boost Purchases

Boosts are one-time, consumable promotions purchased through Apple's In-App Purchase system. Each Boost expires after the selected duration (7 or 30 days). GigTwist may change Boost pricing at any time.

36. Account Type Is Fixed

Each account is designated as a musician account or a venue account at sign-up, and the account type cannot be changed afterwards.

37. Prohibited Content and Zero Tolerance

GigTwist has zero tolerance for objectionable content and abusive behaviour. You may not post, upload, send, or link to:

Hate speech, slurs, or content that attacks or demeans people on the basis of race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, or age
Sexually explicit or pornographic material
Threats, incitement to violence, or content that harasses, bullies, stalks, or intimidates another person
Content that impersonates another person, venue, or act
Spam, scams, or attempts to defraud another user

Report anything that breaks these rules using the Report option on any profile, review, message, gig posting, or uploaded file, or email admin@gig-twist.com. We review every report within 24 hours. Content that violates these terms is removed, and the accounts responsible may be suspended or permanently terminated without refund. You can also block any other user from their profile or a message thread, which stops all contact between you.

38. Eligibility and Minimum Age

GigTwist is for adults. You must be 18 years of age or older to create an account, because using GigTwist means entering binding booking agreements and, for musicians, receiving payouts to a bank account. You confirm your age when you sign up, and on iOS 26 and later we also check with Apple's Declared Age Range service. If either tells us you are under 18, we will not create the account, and if we learn later that an account belongs to someone under 18, we will close it.
